Bez obzira da li planirate preseljenje, kupovinu nekretnine ili pokretanje biznisa u Srbiji, na raspolaganju vam je nekoliko fleksibilnih opcija.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">U ovom izdanju na\u0161eg biltena, donosimo vam potpuni pregled mogu\u0107nosti za ulazak na srpsko tr\u017ei\u0161te.<\/span><\/p>\n<h3><b>1. Osnivanje novog dru\u0161tva (DOO)<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Strani fizi\u010dki i pravni subjekti mogu biti 100% vlasnici i osniva\u010di Dru\u0161tva s ograni\u010denom odgovorno\u0161\u0107u (DOO) u Srbiji. Procedura je jednostavna i ne zahteva Va\u0161e fizi\u010dko prisustvo, jer se ceo proces mo\u017ee zavr\u0161iti putem specijalnog punomo\u0107ja i elektronske registracije.<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Temeljni kapital<\/b><span style=\"font-weight: 400;\"> Zakonski minimalni temeljni kapital iznosi samo 100 RSD (manje od 1 EUR).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Brzina:<\/b><span style=\"font-weight: 400;\"> Registracija kod Agencije za privredne registre (APR) zavr\u0161ava se za 3 do 5 radnih dana od podno\u0161enja uredne prijave.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Za\u0161tita imovine:<\/b><span style=\"font-weight: 400;\"> Osniva\u010di ne odgovaraju osobno za obveze dru\u0161tva; odgovornost je ograni\u010dena na visinu njihova uloga u temeljni kapital.<\/span><\/li>\n<\/ul>\n<h3><b>2. Kupnja \u201cOffshore\u201d tvrtke za trenutno poslovanje<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Ako si ne mo\u017eete priu\u0161titi \u010dekati standardnih 10 do 15 radnih dana potrebnih za osnivanje nove tvrtke i otvaranje bankovnog ra\u010duna, kupnja \u201cpolice\u201d tvrtke idealno je rje\u0161enje. Ovo je tvrtka koja je ve\u0107 formalno registrirana, ima otvoren bankovni ra\u010dun i ispunila je po\u010detne zakonske obveze, ali nikada nije obavljala nikakve poslovne aktivnosti.<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Prednosti:<\/b><span style=\"font-weight: 400;\"> Omogu\u0107uje ulazak na tr\u017ei\u0161te u samo 2 do 5 radnih dana te pru\u017ea uspostavljeni kredibilitet zbog formalne starosti tvrtke.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Oprez:<\/b><span style=\"font-weight: 400;\"> Prije kupnje takvog dru\u0161tva, obvezna je detaljna Due Diligence (pravna, porezna, sudna i bankovna) kako bi se kupca za\u0161titilo od potencijalnih skrivenih obveza prethodnog vlasnika.<\/span><\/li>\n<\/ul>\n<h3><b>3. Spajanja i preuzimanja (M&amp;A)<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Srpsko tr\u017ei\u0161te je visoko otvoreno, omogu\u0107avaju\u0107i strancima kupovinu udela u postoje\u0107im operativnim kompanijama pod istim uslovima kao i doma\u0107i subjekti, osim u specifi\u010dnim ograni\u010denim industrijama kao \u0161to su vojna industrija, finansijski sektor ili kockanje. Kupovina se mo\u017ee strukturirati kao prenos udela (gde preuzimate ceo posao, prava i obaveze) ili kao kupovina imovine.<\/span><\/p>\n<h3><b>4. Kupnja nekretnina i poljoprivrednog zemlji\u0161ta (Rje\u0161enje DOO-a)<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Iako stranci relativno lako mogu kupiti stanove i poslovne prostore na temelju na\u010dela reciprociteta, Zakon o poljoprivrednom zemlji\u0161tu izri\u010dito zabranjuje stranim fizi\u010dkim i pravnim osobama vlasni\u0161tvo nad poljoprivrednim zemlji\u0161tem u Srbiji.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Postoji vrlo stroga iznimka prema Sporazumu o stabilizaciji i pridru\u017eivanju za dr\u017eavljane Europske unije (EU), koji mogu ste\u0107i do 2 hektara poljoprivrednog zemlji\u0161ta u privatnom vlasni\u0161tvu. Me\u0111utim, moraju ispunjavati stroge uvjete, kao \u0161to su najmanje 10 godina stalnog prebivali\u0161ta u lokalnoj op\u0107ini, aktivno obra\u0111ivanje predmetnog zemlji\u0161ta najmanje 3 godine i posjedovanje registriranog obiteljskog poljoprivrednog gospodarstva najmanje 10 neprekinutih godina.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Budu\u0107i da su ovi uvjeti izravnog vlasni\u0161tva iznimno strogi, najelegantnije rje\u0161enje je <\/span><b>osnivanje DOO-a u Srbiji<\/b><span style=\"font-weight: 400;\">. Tvrtka registrirana u Srbiji, \u010dak i ako je 100% inozemno vlasni\u0161tvo, tretira se kao doma\u0107a pravna osoba. To zna\u010di da va\u0161 novoosnovani DOO ili kupljena \"shelf\" tvrtka mo\u017ee slobodno kupovati i posjedovati poljoprivredno zemlji\u0161te, \u0161ume i sve druge vrste nekretnina diljem Srbije.<\/span><\/p>\n<h3><b>5. Privremeni boravak i jedinstvena radna dozvola<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Stranac ne treba boravi\u0161nu ili radnu dozvolu samo zato \u0161to je vlasnik tvrtke u Srbiji. Me\u0111utim, ako \u017eelite \u017eivjeti u Srbiji i raditi kao direktor svoje tvrtke, dr\u017eava nudi pojednostavljeni put do boravka kroz samozapo\u0161ljavanje.
